NOTICE OF PUBLIC AUCTION By public auction (the "Auction") to be held on Monday, January 27, 2020, at 10:00 A.M. Central Standard Time, via conference call, Guerdon AcquisitionCo, LLC ("Secured Party") will sell at foreclosure to the highest bidder certain of the assets (the "Collateral") of Guerdon Modular, Inc., Guerdon Enterprises LLC, and New Wave Homebuilders LLC (collectively, the "Borrowers"), which Borrowers are in the business of constructing modular buildings, to one or more pre-qualified bidders. The Collateral includes, without limitation, tools, equipment, parts, inventory and other assets used in the business of constructing modular buildings and is generally located in Ada County, Idaho (but does not include any stock, membership interests, or other equity interests issued by any Borrower). The Collateral shall be sold "as is" and subject to any encumbrances not extinguished by the sale. There is no representation or warranty relating to title, possession, condition, quiet enjoyment, or the like in this disposition. All prospective bidders must pre-qualify prior to the date of sale as to their bona fide interest, capacity and financial wherewithal by contacting the Secured Party's attorney described below prior to the date of sale. Secured Party reserves the right to credit bid for the Collateral. The Secured Party hereby reserves the right to cancel, postpone or re-notice the time, date and/or method of the Auction at any time.
